The retainer is overtaken in whatever state it is at the time of the overtake i.e. if it was played at superior and got into play with 2 life instead of 1, later it looses1 life and then the overtake happens results in the new controller getting a superior version Raven with 1 life.

No, the discipline level is only relevant when the recruitment action is announced and happens, the controller gaining additional disciplines or discipline levels doesn’t affect retainers already played and in-play.
